Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Individual Entrepreneur Roman Blokhin, identification number 345777340, legal address: Georgia, Batumi city, Giorgi Leonidze street, N 4e("pingplex", "we", "us"), governing your access to and use of the pingplex platform available at pingplex.io and any associated mobile or desktop applications (collectively, the "Service").

By creating an account, clicking "I agree", or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is higher) to use the Service. By using the Service you represent and warrant that you meet this requirement and that you are not prohibited from using the Service under applicable law.

2. Description of Service

pingplex is a subscription-based AI content generation platform that provides, among other features:

  • AI-generated images via models including OpenAI DALL-E and Google Gemini;
  • AI-generated video via models including Google Veo and Kling;
  • AI-generated audio and text-to-speech synthesis;
  • Scenario and script writing tools;
  • Metadata generation and SEO tools for video content;
  • Content uniqualization (reframing, filter application);
  • YouTube and social media content downloader for personal archiving;
  • Credit-based billing with subscription plans.

The Service is provided on an as-is basis. We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice where practicable.

3. Account Registration and Security

To access most features you must register an account. You agree to provide accurate, complete, and current information during registration and to keep such information up to date. You are solely responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately at support@pingplex.io of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that we reasonably believe are compromised, used for fraudulent purposes, or in violation of these Terms.

4. Credits and Subscription Plans

4.1 Credit System

The Service operates on a credit-based model. Credits are consumed each time a paid action is performed (e.g., generating an image, video, or audio). The credit cost of each action is displayed within the platform and may be updated from time to time with prior notice.

4.2 Free Tier

Upon creating an account, new users receive 150 complimentary credits at no charge. Free credits are a one-time grant, do not renew, and are subject to fair-use limits.

4.3 Paid Subscriptions

Paid subscription plans are offered on a recurring monthly basis. Current plans and pricing are displayed on the Pricing page. By subscribing you authorize us (or our payment processors) to charge your chosen payment method the applicable fee each billing cycle in advance.

  • Standard Plan: USD 19 / month — 2,500 credits per billing cycle;
  • Pro Plan: USD 49 / month — 8,000 credits per billing cycle.

Credits granted under a subscription plan refresh at the start of each billing cycle. Unused credits do not carry over and expire at the end of the billing period.

4.4 Payment Processors

Payments may be processed by one of the following third-party payment processors depending on your selected method and location: Stripe (card payments, USD), YooKassa(card payments, RUB), and Cryptomus (cryptocurrency). By completing a payment you also agree to the terms and privacy policy of the applicable processor.

4.5 Taxes

Prices displayed may be exclusive of applicable taxes (VAT, GST, etc.). You are responsible for any taxes imposed on your purchases in your jurisdiction. We reserve the right to collect applicable taxes as required by law.

5. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time within a billing cycle unless required by applicable law. For our full refund policy see the Refund Policy.

6. Acceptable Use

You agree not to use the Service to:

  • Generate, distribute, or promote content that is unlawful, defamatory, harassing, hateful, or obscene;
  • Infringe intellectual property rights of third parties;
  • Generate non-consensual intimate imagery or any content sexualizing minors;
  • Impersonate real individuals without their consent, particularly for deceptive purposes;
  • Interfere with or attempt to gain unauthorized access to our systems or other users' data;
  • Automate access to the Service in a manner that unreasonably burdens infrastructure (scraping, DDoS);
  • Resell, sublicense, or commercialize Service outputs without complying with applicable AI provider usage policies;
  • Violate any applicable local, national, or international law or regulation.

We reserve the right to investigate and take appropriate action, including immediate account suspension, against any User suspected of violating this section.

7. Intellectual Property

7.1 Platform

All rights, title, and interest in and to the Service, including its software, design, trademarks, and documentation, are and will remain the exclusive property of pingplex and its licensors.

7.2 User-Generated Content

You retain any rights you hold in the prompts and source materials you provide. By submitting them to the Service you grant pingplex a limited, non-exclusive, royalty-free license to process them solely to provide the Service.

7.3 AI-Generated Outputs

Outputs generated by the Service are provided to you for use subject to these Terms. You are responsible for ensuring that your use of generated outputs does not infringe third-party rights and complies with the usage policies of the underlying AI model providers (OpenAI, Google, Kling, etc.).

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT GENERATED OUTPUTS WILL MEET YOUR REQUIREMENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL pingplex, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD 50.

10. Indemnification

You agree to defend, indemnify, and hold harmless pingplex and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

11. Third-Party Services

The Service integrates third-party AI and infrastructure providers including OpenAI, Google (Gemini / Veo), Kling, Alibaba Cloud (DashScope), Stripe, YooKassa, Cryptomus, and Fly.io. Your use of outputs generated via these providers is additionally subject to their respective terms of service. We are not responsible for the availability or actions of third-party services.

12. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or an in-app notice at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service and cancel any active subscriptions.

13. AI-Generated Content and Data Processing

The Service processes your text prompts, reference images, and other inputs ("Inputs") by transmitting them to third-party AI model providers (including OpenAI, Google, Kling, and Alibaba Cloud DashScope) to generate outputs ("Outputs"). By using the Service you acknowledge and agree that:

  • Your Inputs may be processed by and stored with third-party AI providers subject to their respective privacy policies and data-use terms;
  • Outputs are generated by AI and may contain inaccuracies, errors, or unintended content — you are solely responsible for reviewing and verifying all Outputs before use;
  • We do not claim ownership of your Inputs or Outputs; you retain any rights you hold in them subject to the licenses granted herein;
  • We do not warrant the originality, legality, or fitness of any Output for a particular purpose;
  • You must not submit sensitive personal data, biometric information, or confidential third-party information as Inputs.

14. Force Majeure

We are not liable for any delay or failure to perform our obligations under these Terms arising from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, pandemics, government actions, internet or telecommunications outages, cyberattacks, unavailability of third-party AI model APIs or cloud infrastructure, or shortages of energy, labor, or materials. In such events our obligations will be suspended for the duration of the force majeure event.

15. Export Control

You may not access or use the Service in violation of any applicable export control or sanctions laws or regulations, including those of Georgia, the United States, the European Union, or any other applicable jurisdiction. By using the Service you represent and warrant that you are not located in, and are not a national or resident of, any country subject to applicable sanctions, and that you are not listed on any government list of prohibited or restricted parties.

16. Electronic Communications

By creating an account and using the Service, you consent to receive communications from us electronically, including via email and in-app notifications. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You may withdraw consent to marketing communications at any time by following the unsubscribe instructions in our emails; however, you will continue to receive service-related and transactional communications necessary for the operation of the Service.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of Georgia. Any disputes arising hereunder shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the competent courts of Adjara Autonomous Republic, Georgia, and you consent to the exclusive jurisdiction of such courts.

18. Termination

We may terminate or suspend your access immediately, without prior notice or liability, if you breach these Terms. Upon termination your right to use the Service ceases. Sections 7, 8, 9, 10, and 17 survive termination.
